Welcome to Calculet, Inc. (“Calculet,” “we,” “our,” or “us”). By accessing or using our services, including our software applications (e.g., Yusrin), AI and ML solutions, consulting, and enterprise services (collectively, “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree, you may not use our Services.
1. Eligibility
You must be at least 18 years old or have the legal capacity to enter into binding contracts in your jurisdiction to use our Services. By using our Services, you represent and warrant that you meet these requirements.
2. Account Registration
Some Services may require creating an account. You agree to:
- Provide accurate, current, and complete information.
- Maintain the confidentiality of your login credentials.
- Notify us immediately of any unauthorized use of your account.
You are responsible for all activity under your account.
3. Use of Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Violate applicable laws, regulations, or third-party rights.
- Attempt to reverse engineer, copy, or interfere with the functionality of our Services.
- Use our Services to develop or train AI models that compete with Calculet’s products.
- Transmit malicious code or unauthorized scripts.
4. Third-Party Services and ML Models
- Our Services may integrate or rely on third-party AI/ML models and APIs. Use of these services may involve sharing data with third-party providers.
- Calculet is not responsible for the performance, accuracy, or outcomes of third-party ML models.
- By using these features, you acknowledge and accept that some data processing occurs outside Calculet’s direct control.
5. Intellectual Property
All content, software, code, designs, logos, trademarks, and proprietary information provided by Calculet (“Intellectual Property”) are owned or licensed by Calculet.
You may:
- Use the Services in accordance with these Terms.
- Download or print content solely for personal or internal business use.
You may not:
- Copy, modify, distribute, or create derivative works without our express written consent.
- Remove or alter any proprietary notices.
All rights not expressly granted remain with Calculet.
6. User-Generated Content
If you submit data, feedback, or content (“User Content”) to Calculet:
- You grant Calculet a worldwide, royalty-free, sublicensable, transferable license to use, modify, and display it for improving our Services, including AI/ML training.
- You represent that you own or have rights to the User Content and it does not violate any law or third-party rights.
- We are not responsible for any loss or exposure of User Content.
7. Privacy and Data Use
Your use of Services is also governed by our Privacy Policy, which explains how we collect, use, and disclose personal information.
By using Services, you consent to data handling practices described in the Privacy Policy, including interactions with third-party ML models.
8. Payment and Subscriptions
Where Services require payment:
- Fees, billing, and refund terms will be as described in the applicable order, invoice, or agreement.
- You authorize us to charge your selected payment method.
- Non-payment may result in suspension or termination of Services.
9. Warranties and Disclaimers
Our Services are provided “as is” and “as available”, without warranties of any kind. Calculet expressly disclaims:
- Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Accuracy, completeness, or reliability of results from AI/ML features, including third-party models.
You acknowledge that AI and ML outputs may be probabilistic or approximate and should not be relied on as the sole source for critical decisions.
10. Limitation of Liability
To the maximum extent permitted by law, Calculet shall not be liable for:
- Any indirect, incidental, consequential, or punitive damages.
- Errors, inaccuracies, or losses arising from AI/ML outputs, including third-party models.
- Loss of data, revenue, or profits resulting from your use of the Services.
Your sole remedy is to discontinue use of the Services or request service corrections where feasible.
11. Indemnification
You agree to indemnify and hold Calculet, its affiliates, and employees harmless from claims, damages, losses, or expenses arising from:
- Your violation of these Terms.
- Your misuse of the Services.
- Your User Content or data shared through Services.
12. Termination
We may suspend or terminate your access to Services:
- For violation of these Terms.
- If we reasonably believe your use may harm others or the Services.
- With or without notice at our discretion.
Upon termination, your rights under these Terms immediately cease, but your obligations (e.g., indemnification) survive.
13. Governing Law and Dispute Resolution
- These Terms are governed by the laws of Newfoundland, Canada and applicable federal law.
- Any disputes will be resolved in the courts of Newfoundland, Canada, and you consent to their jurisdiction.
- Parties agree to first attempt informal negotiation or mediation before pursuing litigation.
14. Modifications to Terms
Calculet may update these Terms at any time. Updated Terms will be posted with a new effective date. Your continued use of the Services constitutes acceptance of the revised Terms.
